This is a combined synopsis/solicitation for commercial items prepared in accordance with the format at FAR Subpart 12.6, as supplemented with additional information included in this notice, and is being conducted pursuant to FAR Part 12 and Subpart 13.5. The synopsis/solicitation constitutes a RFQ and incorporates provisions and clauses in effect through Federal Acquisition Circular No. 2005-76 dated 7/25/2014. Should the Government issue a time and material purchase order resulting from this RFQ, it will be in the form of a written offer to the supplier and shall require the supplier's acceptance by notification to the Government, in writing, as defined at FAR 2.101. THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION; QUOTES ARE BEING REQUESTED AND A WRITTEN SOLICITATION WILL NOT BE ISSUED. The RFQ is issued on an unrestricted basis. The associated North American Industry Classification System (NAICS) code is 541511, which has a corresponding size standard of $27.5M or less.

The National Oceanic and Atmospheric Administration (NOAA), Eastern Region Acquisition Division, 200 Granby Street, Norfolk, Virginia 23510, on behalf of the National Marine Fisheries Service (NMFS), Office of Protected Resources (OPR) is soliciting quotes for Development and maintenance of a cetacean and pinniped auditory evoked potential (AEP) database as described in the Statement of Work (SOW). The Government anticipates issuing a purchase order as a result of this RFQ.

The contractor is responsible for providing all labor, services, materials, and shipping in accordance with this RFQ. The contractor shall review Attachment A - Labor Categories and then complete Attachment B - Pricing. Statement of Work For the Development and Maintenance of Database for Auditory Evoked Potential Data

Scope of Work

The development and management of a database of auditory evoked potential (AEP) data collected during the course of hearing tests conducted on stranded and rehabilitating marine mammals as well as data collected on marine mammals tested as part of a live capture release program is required to ensure consistency in marine mammal hearing assessments across regions, laboratories, and stranding networks, expansion of the information that can be used for development of baselines in wild marine mammals, and to provide a source of information on hearing of marine mammals in the wild for managers.

Background

As outlined in the 1992 amendments of the Marine Mammal Protection Act (MMPA), NOAA Fisheries' Marine Mammal Health and Stranding Response Program (MMHSRP) is required to: (a) monitor the health and health trends of marine mammal populations in the wild, (b) correlate the health parameters with physical, chemical, and biological environmental parameters, and (c) respond effectively to marine mammal Unusual Mortality Events (UMEs). In compliance with this legislative mandate and due to the amount of anthropogenic sound, environmental chemicals and pathogens in the marine environment, it is imperative that a database to house and interpret hearing tests (AEPs) for marine mammals in the wild be further developed and maintained. In addition, there is a need to provide a tool for evaluation of the hearing capabilities of live stranded cetaceans in order to make informed release decisions.

The U.S. Navy Marine Mammal Program (MMP) developed a custom software package (EVREST) and integrated it into a portable and ruggedized system for the collection and analysis of marine mammal evoked potential audiometric data. As part of a collaborative arrangement between the MMP and the National Marine Mammal Foundation (NMMF), the NMMF has built EVREST systems for use by members of the national stranding network in the performance of audiometry on stranded and rehabilitating marine mammals. The NMMF additionally provides training on how to use the systems for collecting AEPs and specific methodologies for collecting data from stranded or live captured/released marine mammals where such evaluations become part of the overall health assessment of these animals. Participation in live capture studies also contributes to the training of stranding network personnel in the use of the system.

As the number of operational EVREST systems has increased and more stranding networks and capture release programs are utilizing EVREST systems for marine mammal audiometry, the need for centralizing data from nationally distributed sources has also increased. The NMMF previously developed a prototype database for the storage of AEP data acquired by the stranding networks and other studies, provided quality analysis of submitted data, analyzed data for final submission to the database, and managed data for user queries.

Specific Work Task 1 - Coordinate with NMFS in the development and implementation of a data sharing agreement and data access policy in collaboration with the stranding network.

Task 2 - Finalize beta-version of database. Specifically, adapt the database for inclusion of AEP data and animal metadata collected by regional stranding networks and which are not currently included in the database structure. Provide access to stranding networks recently provided with the EVREST system. Provide training to personnel on data upload process.

Task 3 - Beta-test the database submission and query process across multiple stranding networks and/or participants.

Task 4 - Modify electronic forms for metadata submission in response to beta testing.

Task 5 - Modify end-user query tools for exploration of archived data in response to beta testing.

Task 6 - Provide quality analysis and threshold analysis of AEP data collected and submitted by stranding networks. Provide final upload of processed data for storage and query by end-users.

Task 7 - Finalize database and database interface for use by stranding networks and provide ongoing maintenance of the database.

Task 8 - Work with NOAA for backend data archival at NOAA.

Operational Requirements Database storage shall either be provided by the contractor and maintained locally or established within a distributed network (i.e. a cloud). Storage will be provided with sufficient redundancy to ensure that data integrity is maintained should any portion of the database be compromised due to internal or external factors. The user interface shall be freely available to all end-users and may consist of commercial software or custom-designed interfaces (e.g. via SQL or LINQ).

The programming lead shall have a M.Sc. or equivalent degree and a minimum of five years experience in database programming, software library development, and GUI design; OR Ten years experience in database programming, software library development, and GUI design.

The technical lead shall have a Ph.D. or equivalent degree and a minimum of seven years experience in computer programming and AEP acquisition and analysis as it relates to marine mammal evoked potential audiometry; OR Ten years experience in computer programming and AEP acquisition and analysis as it relates to marine mammal evoked potential audiometry.

Period of Performance The period of performance is September 29, 2014 through September 28, 2015 with two additional option years (option year 1: September 29, 2015 through September 28, 2016 and option year 2: September 29, 2016 through September 28, 2017).

TRAVEL Travel shall be approved in advance and must be associated with the performance of the contract and through coordination of the Contracting Officer's Representative and Contracting Officer. Travel proposed and accepted by the government in the contractor's proposal shall not require additional approval. Any additional travel outside of the proposal shall require approval from the contracting officer at least fourteen (14) calendar days in advance of anticipated travel. The travel expenses shall be computed at the per diem rate(s) provided in the Federal Travel Regulations (FTR) in effect at the time of travel. When travel is performed using a privately owned vehicle (POV), the Contractor shall be reimbursed at the mileage rate provided in the FTR in effect at the time of travel. No per diem (including meals) shall be paid when the official travel is 12 hours or less, within the continental United States.

11. CAR 1352.228-70 INSURANCE COVERAGE (APR 2010)

(a) Workers Compensation and Employer's Liability. The contractor is required to comply with applicable federal and state workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in states with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers. (b) General liability. (1) The contractor shall have bodily injury liability insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence. (2) When special circumstances apply in accordance with FAR 28.307-2(b), Property Damage Liability Insurance shall be required in the amount of $ 0. (c) Automobile liability. The contractor shall have automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. (d) Aircraft public and passenger liability. When aircraft are used in connection with performing the contract, the contractor shall have aircraft public and passenger liability insurance. Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger liability, and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater. (e) Vessel liability. When contract performance involves use of vessels, the Contractor shall provide, vessel collision liability and protection and indemnity liability insurance as determined by the Government. 12. CAR 1352.237-74 PROGRESS REPORTS (APR 2010) (Reference 1337.110-71(a))

The contractor shall submit, to the Government, a progress report one month after the effective date of the contract, and every month thereafter during the period of performance. The contractor shall deliver progress reports that summarize the work completed during the performance period, the work forecast for the following period, and state the names, titles and number of hours expended for each of the contractor's professional personnel assigned to the contract, including officials of the contractor. The report shall also include any additional information-including findings and recommendations-that may assist the Government in evaluating progress under this contract. The first report shall include a detailed work outline of the project and the contractor's planned phasing of work by reporting period. (End of Clause)

13. FAR 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999) (Reference 17.208(f))

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days prior to the expiration of the current contract period of performance. (End of Clause)

14. FAR 25.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000) (Reference 17.208(g))

(a) If more than 31 days remain in the contract period of performance, the Government, without prior written notification, may exercise this option by issuing a contract modification. To exercise this option within the last 30 days of the period of performance, the Government must provide to the Contractor written notification 15 days prior to the expiration date of the contract period of performance. This preliminary notification does not commit the Government to exercising the option

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

15. FAR 52.227-17 RIGHTS IN DATA -- SPECIAL WORKS (DEC 2007) (Reference 27.409(e)) (a) Definitions. As used in this clause-- "Data" means recorded information, regardless of form or the medium on which it may be recorded. The term includes technical data and computer software. The term does not include information incidental to contract administration, such as financial, administrative, cost or pricing, or management information. "Unlimited rights" means the rights of the Government to use, disclose, reproduce, prepare derivative works, distribute copies to the public, and perform publicly and display publicly, in any manner and for any purpose, and to have or permit others to do so. (b) Allocation of Rights. (1) The Government shall have- (i) Unlimited rights in all data delivered under this contract, and in all data first produced in the performance of this contract, except as provided in paragraph (c) of this clause for copyright. (ii) The right to limit assertion of copyright in data first produced in the performance of this contract, and to obtain assignment of copyright in that data, in accordance with paragraph (c)(1) of this clause. (iii) The right to limit the release and use of certain data in accordance with paragraph (d) of this clause. (2) The Contractor shall have, to the extent permission is granted in accordance with paragraph (c)(1) of this clause, the right to assert claim to copyright subsisting in data first produced in the performance of this contract. (c) Copyright- (1) Data first produced in the performance of this contract. (i) The Contractor shall not assert or authorize others to assert any claim to copyright subsisting in any data first produced in the performance of this contract without prior written permission of the Contracting Officer. When copyright is asserted, the Contractor shall affix the appropriate copyright notice of 17 U.S.C. 401 or 402 and acknowledgment of Government sponsorship (including contract number) to the data when delivered to the Government, as well as when the data are published or deposited for registration as a published work in the U.S. Copyright Office. The Contractor grants to the Government, and others acting on its behalf, a paid-up, nonexclusive, irrevocable, worldwide license for all delivered data to reproduce, prepare derivative works, distribute copies to the public, and perform publicly and display publicly, by or on behalf of the Government. (ii) If the Government desires to obtain copyright in data first produced in the performance of this contract and permission has not been granted as set forth in paragraph (c)(1)(i) of this clause, the Contracting Officer shall direct the Contractor to assign (with or without registration), or obtain the assignment of, the copyright to the Government or its designated assignee. (2) Data not first produced in the performance of this contract. The Contractor shall not, without prior written permission of the Contracting Officer, incorporate in data delivered under this contract any data not first produced in the performance of this contract and which contain the copyright notice of 17 U.S.C. 401 or 402, unless the Contractor identifies such data and grants to the Government, or acquires on its behalf, a license of the same scope as set forth in subparagraph (c)(1) of this clause. (d) Release and use restrictions. Except as otherwise specifically provided for in this contract, the Contractor shall not use, release, reproduce, distribute, or publish any data first produced in the performance of this contract, nor authorize others to do so, without written permission of the Contracting Officer. (e) Indemnity. The Contractor shall indemnify the Government and its officers, agents, and employees acting for the Government against any liability, including costs and expenses, incurred as the result of the violation of trade secrets, copyrights, or right of privacy or publicity, arising out of the creation, delivery, publication, or use of any data furnished under this contract; or any libelous or other unlawful matter contained in such data. The provisions of this paragraph do not apply unless the Government provides notice to the Contractor as soon as practicable of any claim or suit, affords the Contractor an opportunity under applicable laws, rules, or regulations to participate in the defense of the claim or suit, and obtains the Contractor's consent to the settlement of any claim or suit other than as required by final decree of a court of competent jurisdiction; and these provisions do not apply to material furnished to the Contractor by the Government and incorporated in data to which this clause applies. 16. NOAA 1330-52.237-70 CONTRACTOR COMMUNICATIONS (a) A contractor employee shall be identified both by the individual's name and the contractor's name when: (1) Included in NOAA's locator, and (2) When submitting any type of electronic correspondence to any NOAA employee or stakeholder. (b) Any written correspondence from a contractor or any contractor employee shall be printed on company/organization letterhead or otherwise clearly identify the sender as an employee of the company or organization and shall identify the contract number. (c) Contractors and/or contractor employees shall clearly identify themselves as such in any verbal communications, whether in informal discussion or a formal meeting. (End of clause)

17. SCIENTIFIC AND RESEARCH MISCONDUCT

(a) Definitions. As used in this provision -

Scientific activities mean activities that involve inventorying, monitoring, observations, experimentation, study, research, integration, modeling, and scientific assessment.

Scientific integrity means the condition resulting from adherence to professional values and practices when conducting and applying the results of science that ensures objectivity, clarity, and reproducibility, and that provides insulation from bias, fabrication, falsification, plagiarism, interference, censorship, and inadequate procedural and information security.

Presentation of scientific activities results includes the analysis, synthesis, compilation, or translation of scientific information and data into formats for the use of the Department of Commerce or the United States of America.

Scientific and Research Misconduct means fabrication, falsification, or plagiarism in proposing, performing, or reviewing scientific and research activities, or in the products or reporting of the results of these activities. It specifically includes intentional circumvention of the integrity of the scientific and research process and actions that compromise that process, but does not include honest error or differences of opinion.

Investigation is formal collection and evaluation of information and facts to determine if scientific or research misconduct can be established, to assess its extent and consequences, and to recommend appropriate action.

(b) General Guidelines

1. Maintaining Integrity. The Contractor shall maintain the scientific integrity of research performed pursuant to this contract award including the prevention, detection, and remediation of research misconduct, and the conduct of inquiries, investigations and adjudications of allegations of research misconduct.

2. In performing or presenting the results of scientific activities under the contract, and in responding to allegations of scientific and research misconduct, the Contractor shall comply with the provisions herein and NOAA Administrative Order (NAO) 202-735D, Scientific Integrity, and its Procedural Handbook, including any amendments thereto. That Order can be found at http://www.corporateservices.noaa.gov/ames/administrative_orders/chapter_202/202-735-D.html

3. Primary Responsibility. The Contractor shall have the primary responsibility to prevent, detect, and investigate allegations of scientific and research misconduct. Unless otherwise instructed by the Contracting Officer, the Contractor shall promptly conduct an initial inquiry into any allegation of such misconduct and may rely on its internal policies and procedures, as appropriate, to do so.

4. By executing this contract, the Contractor provides its assurance that it has established an administrative process for performing an inquiry, investigating, and reporting allegations of scientific and research misconduct; and that it will comply with its own administrative process for performing an inquiry, investigation and reporting of such misconduct.

5. The Contractor shall insert the substance of this provision in subcontracts at all tiers that involve research being performed under this contract.

(c) Investigating Misconduct Research

1. Initiating Investigation. If the Contractor determines that there is sufficient evidence to proceed to an investigation, it shall notify the Contracting Officer and, unless otherwise instructed, the Contractor shall:

a. Promptly conduct an investigation to develop a complete factual record and an examination of such record leading to either a finding of scientific and research misconduct and an identification of appropriate remedies or a determination that no further action is warranted.

b. If the investigation leads to a finding of scientific and research misconduct, obtain adjudication by a neutral third party adjudicator. The adjudication must include a review of the investigative record and, as warranted, a determination of appropriate corrective actions and sanctions.

2. Finalizing Investigation. When the investigation is complete, the Contractor shall forward to the Contracting Officer a copy of the evidentiary record, the investigative report, any recommendations made to the Contractor's adjudicating official, the adjudicating official's decision and notification of any corrective action taken or planned, and the subject's written response (if any).

(d) Findings and Corrective Actions

1. If the Contractor finds that scientific and research misconduct has occurred, it shall assess the seriousness of the misconduct and its impact on the research completed or in process and shall:

a. Take all necessary corrective actions, which includes, but are not limited to, correcting the research record, and, as appropriate, imposing restrictions, controls, or other parameters on research in process or to be conducted in the future, and

b. Coordinate remedial action with the Contracting Officer.

(e) Department of Commerce Actions

1. The Department of Commerce may accept the Contractor's findings or proceed with its own investigation, in which case the Contractor shall fully cooperate with the investigation. The Contracting Officer will inform the Contractor of the Department's final determination.

2. The Department of Commerce reserves the right to pursue such remedies and other actions as it deems appropriate, consistent with the terms and conditions of the contract and applicable laws and regulations. Such remedies and actions may include, but are not limited to, disallowance of costs, recoupment of contract payments, and suspension or debarment. (End of Provision)

23. FAR 52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JUL 2013) (Reference 9.104-7(b)) (a) Definitions. As used in this provision- "Administrative proceeding" means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). 24. Representation by Corporations Regarding an Unpaid Delinquent Tax Liability or a Felony Conviction Under Any Federal Law (Class Deviation) (March 2014)

In accordance with Sections 536 and 537 of Division B of Public Law 113-76 Consolidated Appropriations Act, 2014, none of the funds made available by Consolidated Appropriations Act, 2014 funding may be used to enter into a contract with any corporation that-

Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless the agency has considered suspension or debarment of the corporation and has made a determination that this further action is not necessary to protect the interests of the Government, or

{b) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless the agency has considered suspension or debarment of the corporation and made a determination that this further action is not necessary to protect the interests of the Government.
