SUS is the public insurance system that covers all Brazilians, with up to 70% of them relying on it as their regular source of care. Finvest GestÃo de Ativos S.A. will be the manager of the Fund (the Manager ), which will be called Finvest FIDC - Mais Saude. Project Sponsor and Major Shareholders of Project Company : The Project s anchor investor is Finvest ServiÇos Financeiros S.A. ( Finvest or the Company ), which is a Brazilian specialty finance company focused on providing capital solutions to market segments that are underserved by commercial banks. The Manager is a subsidiary of Finvest and is regulated by the ComissÃo de Valores MobiliÁrios ( CVM ), which is the Brazilian version of the U.S. Securities and Exchange Commission ( SEC ) and the Brazilian Financial and Capital Markets Association ( ANBIMA ). Founded in 2009, Finvest is based in SÃo Paulo (Brasil) and has 30 employees. Luis Claudio Garcia de Souza is one of the three main shareholders of Finvest, being its founder and current CEO. Mr. Souza controls 26.5% of Finvest through his 100% owned company Sociedade Financial de Investimentos Ltda. Finvest s management holds 13% of the Company. The remaining shareholding of Finvest is held by funds managed by Morgan Rio Capital Management, LLC ( Morgan Rio ) (a share of 26.5%) and Two Sigma Special Opportunities Brazil, LLC ( Two Sigma ) (a share of 33%). Morgan Rio is a US institutional asset management firm specialized in investments in Latin America. Two Sigma is a US fund manager that also makes proprietary investments. Total Project Cost and Amount and Nature of IFC~s Investment : The Project consists of an investment by IFC of up to BRL50 million in the senior and subordinated quotas of the Fund, which will provide long-term funding to small and midsize hospitals and clinics that provide SUS services. IFC s investment will be subject to Finvest and its shareholders investing the same amount as IFC and other investors commitment to participate in senior shares of the Fund. Location of Project and Description of Site : Finvest is based in Brazil, in the city of SÃo Paulo. The Fund will provide financing to Healthcare Providers in Brazil.
