Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant On July 21, 2014, Herman Miller, Inc. (the "Company") entered into an amendment and restatement of an existing unsecured credit facility (the "Agreement"). The Agreement, which expires on July 21, 2019, provides the Company with up to $250 million in revolving variable interest borrowing capacity. In addition, the Agreement includes an "accordion feature" allowing the Company to increase, at its option and subject to the approval of the participating banks, the aggregate borrowing capacity of the facility by up to $125 million. As of July 21, 2014, the unused borrowing capacity available to the Company under the Agreement totaled $242 million; with the only usage being from outstanding letters of credit.

Wells Fargo Bank, National Association and JPMorgan Chase Bank, N.A. served as joint lead arrangers of the Agreement. Borrowings under the Agreement may be used to refinance existing debt, provide working capital, or for other general corporate purposes. The Agreement is attached to this report as Exhibit 10.1 and is incorporated in this Item 2.03 by reference.
