(Nasdaq:PFIE), a technology company which manufactures, installs and services burner management systems and other combustion technologies for the oil and gas industry, today reported that it has closed its previously announced public offering of 6,000,000 shares of common stock at a price per share of $4.00 (the "Offering") for gross proceeds to the Company of $18.0 million. 4,500,000 of the shares in the offering were sold by the Company, and the remaining 1,500,000 shares of common stock were sold by certain stockholders of the Company who are members of management. The underwriters also have a 45-day option to acquire an additional 900,000 shares of common stock from the selling stockholders. The Company received net proceeds from the Offering of approximately $16.4 million after deducting discounts and commissions to the underwriters and estimated offering expenses payable by the Company. The Company did not receive any proceeds from the sale of the shares by the selling stockholders. The Company's common stock is listed on the Nasdaq Capital Market under the symbol PFIE. Maxim Group LLC and Chardan Capital Markets, LLC acted as the Joint Book Running Managers for the offering.
Profire intends to use the proceeds from the offering for expansion of its sales and service team, and for other working capital purposes. The Company may also use a portion of the net proceeds to fund possible investments in, or acquisitions of, complementary businesses, solutions or technologies.
