TRAVELPORT LTD FILES (8-K) Disclosing Other Events

On July 17, 2014, a subsidiary (the "Selling Stockholder") of Travelport Limited entered into an underwriting agreement to sell 34 million shares of common stock of Orbitz Worldwide, Inc. ("Orbitz Worldwide") in an underwritten public offering for approximately $280 million before expenses.

The underwriters have a 30 day option to purchase up to an additional 5 million shares from the Selling Stockholder. Orbitz Worldwide will not receive any proceeds from the offering. The closing of the sale of the shares is expected to take place on July 22, 2014, subject to customary closing conditions.

Credit Suisse Securities (USA) LLC is serving as the sole book-running manager. The offering of securities is made only by means of a written prospectus and related prospectus supplement, which together will form a part of Orbitz Worldwide's effective registration statement. The prospectus and prospectus supplement relating to the offering will be filed with the U.S. Securities and Exchange Commission ("SEC") and will be available on the SEC's website at www.sec.gov.
