Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 11, 2014, Heat Biologics, Inc. (the "Company") held its Annual Meeting of Stockholders (the "Annual Meeting"). At the Annual Meeting, the stockholders voted on the following three proposals and cast their votes as described below.

These matters are described in detail in the Company's proxy statement for the Annual Meeting, which was filed with the Securities and Exchange Commission on May 8, 2014.

Proposal 1 - Election of Directors

The stockholders ratified and approved the appointment of BDO USA, LLP as the Company's independent registered public accounting firm for the year ending December 31, 2014 based on the votes listed below:

Proposal 3 - Approval of the Company's 2014 Stock Option Plan.

The stockholders ratified and approved the Company's 2014 Stock Incentive Plan based on the votes listed below:
