Item 5.07 Submission of Matters to a Vote of Security Holders.

The registrant held its 2014 annual meeting of stockholders on May 28, 2014. At the close of business on the record date for the annual meeting 2,397,107 shares of the registrant's class A common stock and 10,000,000 shares of the registrant's class B common stock were issued and outstanding and eligible to vote at the meeting. Each share of the registrant's class A common stock entitles its holder to one vote. Each share of the registrant's class B common stock entitles its holder to ten votes with respect to the election of directors and one vote on all other matters.

At the 2014 annual meeting, the registrant's stockholders voted on the two proposals described in detail in the registrant's definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 28, 2014. Stockholders present at the 2014 annual meeting, either in person or by proxy, represented 97.7% of the 12,397,107 votes eligible at the meeting to vote on all matters other than the election of directors and 99.7% of the 102,397,107 votes eligible at the meeting for the election of each director nominee.

Proposal 1: Election of Directors



The registrant's stockholders elected David A. Bowers, Norman S. Edelcup, Loretta J. Feehan, Edward J. Hardin, Ann Manix, Bobby D. O'Brien, George E. Poston and Steven L. Watson as directors. Each director nominee received votes "For" his election from at least 99.3% of the eligible votes for the election of each director.

Proposal 2: Say-on-Pay, Nonbinding Advisory Vote Approving Executive Compensation

The registrant's stockholders adopted a resolution, on a nonbinding advisory basis, approving the compensation of the registrant's named executive officers as described in the registrant's 2014 proxy statement. The resolution received the approval from 97.6% of the eligible votes for this proposal at the annual meeting.
