Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE MKT: LTS ) acted as the placement agent in connection with the offering. The securities purchase agreement contains customary representations and warranties and covenants of the Company.
