Disclosure of shareholdings

FUNCOM N.V. Nexus Capital AS, a company in the Kristian Gerhard Jebsen Group , which in turn is owned by Mr. Hans Peter Jebsen and family, have on the 24th of January, 2014, sold one million shares in Funcom N.V. at an average price of 5.42 NOK /share. Following the sale of shares, Nexus Capital AS holds 10.950.525 shares in Funcom N.V. KGJ Investments S.A. , SICAV-SIF, another company in the Kristian Gerhard Jebsen Group , is today exercising 5.000.000 warrants giving rights to subscribe for 5.000.000 new shares in Funcom N.V at a price of USD 0.37 (approx. NOK 2.27 ) per share. The share issue will take place 10 days from today and provide Funcom N.V.with approximately NOK 11.3 million in increased equity. Following the exercise of warrants, the total holdings of shares and warrants in Funcom N.V. of KGJ Investments S.A. , SICAV-SIF is 5.000.000 and 10.000.000, respectively. In addition to shares held in Nexus Capital AS and KGJ Investments S.A. , SICAV-SIF, another company in controlled by Mr. Hans Peter Jebsen , namely Tom Dahl AS, holds another 182 550 shares in Funcom N.V. Following the above mentioned sale of shares and shares issued following the exercise of warrants, companies owned directly and indirectly by Mr. Hans Peter Jebsen together will hold 16.133.075 shares in Funcom N.V. , equivalent to 22.6 % of shares issued by Funcom N.V. Prior to the said transactions the corresponding ownership was 18.2 %. As reported to the Oslo Stock Exchange on the 16th of January, 2014, and prior to the transactions described above, companies owned directly and indirectly by Mr. Hans Peter Jebsen held shares and rights to subscribe for shares corresponding to 65.2 % of the shares issued by Funcom N.V at the time («Total capital interest»). Following the two transactions «Total capital interest» for companies owned directly and indirectly by Mr. Hans Peter Jebsen will be 59.2 %. «Total capital interest» is calculated as number of shares owned plus potential shares issued in the future from warrants and convertible bonds, divided by number of shares issued.
