Item 2.02 Results of Operations and Financial Condition On January 23, 2013 , Five Oaks Investment Corp. (the "Company") filed a Registration Statement on Form S-11 (the "prospectus") for an offering of its common stock, par value $0.01 per share. The prospectus contains the disclosure set forth below regarding the Company's estimated book value per common share as of December 31, 2013 . Because our financial statements for the periods indicated are not yet available, the estimate included above is preliminary, unaudited, subject to completion, may be revised as a result of management's further review of our results and is subject to completion of our financial closing procedures for the periods indicated.
