MONTREAL, QUEBEC -- (Marketwired) -- 05/07/13 -- SENSIO Technologies Inc. ("SENSIO" or "the Company") (TSX VENTURE: SIO), announced today the execution of a 12-month service agreement with Hayden IR ("Hayden") whereby Hayden will provide investor relations. Hayden will, among other things, provide advice on SENSIO's corporative communications, support its positioning, distribute the Company's communications to networks of investors as well as, if required, manage communications with investors for the American market.
Hayden has been a recognized leader in driving market recognition and creating sustainable competitive advantages for more than 150 micro- and small-cap companies. The senior team at Hayden has provided advisory services for more than 200 public companies collectively during their careers.
In exchange for its services, Hayden was granted 125,000 stock-options as of May 1st, 2013, at an exercise price of 0.18$, conditional upon TSXV approval. The options will vest each quarter in equal tranches of 31,250 options over the twelve month period following the grant. In the event of termination of the Agreement, the options vested as at the date of such termination will expire at the earliest of (i) a three year period following the date of grant; and (ii) 30 days following the date of the termination of the agreement. Furthermore, the outstanding stock options that have not vested as at the date of termination of this Agreement may no longer become vested and shall become null and void without further consideration. In addition to the grant of options, Hayden will be paid monthly consulting and services fee in the amount of $5,000 USD. The contract can be terminated by SENSIO upon 10 days' notice and is subject to approval of the TSX Venture Exchange.
