Ms. Bernd-Schulz has over 11 years' experience representing private and public companies and individuals in corporate and securities transactions, including private and public financings, international market financings, mergers and acquisitions, and going public transactions. She advises public companies in connection with the preparation of primary and resale registration statements; privatization and deregistration, initial, secondary listing and continued listing on the NYSE, NYSE Amex and NASDAQ stock exchanges, and quotation on the OTC markets. She also counsels public companies and board committees in connection with general corporate and commercial matters, ongoing securities law disclosure and notice requirements, corporate governance and fiduciary obligation, Sarbanes-Oxley compliance and executive compensation matters.
Ms. Bernd-Schulz has also counseled private companies and insiders on a wide range of general corporate matters, including in the negotiation and documentation of business and commercial contracts, private equity investments, debt financing and other corporate financing transactions. She also counsels clients on entity and subsidiary formation, the establishment of offshore subsidiaries, branches and representative offices, and with the structuring and documentation of mergers, acquisitions, spin-offs and corporate reorganizations.
