Bank of America Loses Two More Board Directors

Two more Bank of America Corp. board members have resigned, bringing to five the number of directors who have left the banking institution since late April. Patricia Mitchell and Jackie Ward stepped down last week.

According to a securities filing, the directors' decisions to leave were not the "result of any disagreement with the corporation or its management," the Charlotte Observer reported.

The departures come amid a shakeup at the Charlotte, N.C.-based bank, which is seeking to beef up the board's expertise in banking and finance. Shareholders voted in late April to split the duties of Chairman and CEO Kenneth Lewis. Walter Massey was named the new chairman of the board.

Mitchell, a former New York TV executive, had been on the board since 2006. She is currently CEO of the New York nonprofit Paley Center for Media. Ward, on the board since 1994, is the retired CEO of Computer Generation Inc., an Atlanta-based software company.

The departures of Ward and Mitchell, effective June 3, came two days before Bank of America appointed two former regulators and two former bankers as directors, Bloomberg News reported.

The exodus could lead to increased scrutiny of Lewis, who has lost some key management and board supporters recently.

BofA's board now has 18 directors.
